From the supplier: The takeover mania in the 1980s resulted in a wave of state laws that discourage acquisitions of in-state companies. These takeover statutes include control share acquisition laws, fair price laws, control share cash-out laws, director's duties laws, voting cap laws, business judgment rule laws, state disclosure laws, poison pill endorsements, labor contract laws and compensation restriction laws. This collection of state legislation tends to put the rights of 'enterprise-dependent nonshareholders' ahead those of shareholders. The laws provide takeover protection ranging from minimal to substantial. Some strategies considering this legislation framework are recommended for acquirers and for target companies and their general managers. Tips for managing nonshareholder welfare are also presented.
